Desktop App EULA

1. Agreement

This Desktop App End User License Agreement applies when you download, install, access, or use a Humanlyst AI desktop application, including E.C.H.O, ORION, FrameWell, and any related updates or preview builds.

If you install or use the software on behalf of a company or organization, you confirm that you have authority to accept this agreement for that organization.

2. License grant

Humanlyst AI grants you a limited, revocable, non-exclusive, non-transferable license to install and use the software for personal or professional use, subject to this agreement and our Terms of Use.

The software is licensed, not sold. We retain all rights not expressly granted to you.

3. Device Health & Platform Conflicts

Because the software runs locally on your device, you are solely responsible for ensuring hardware and operating system compatibility.

Humanlyst AI is not responsible for any device instability, crashes, performance degradation, or conflicts with other software, including antivirus or firewall false positives that may block or quarantine our applications.

4. Free 'As-Is' Distribution

The software is provided free of charge, 'as is' and 'as available.' We have no obligation to provide support, maintenance, updates, or to ensure continued compatibility with future OS releases.

We reserve the right to discontinue or limit free product distribution at any time without notice.

5. Restrictions

• No copying, reselling, sublicensing, or redistributing the software without written permission.
• No reverse engineering, decompiling, or attempting to extract source code.
• No removing legal notices, branding, or security warnings.
• No using the software for unauthorized surveillance, malware, or unlawful recording.
• No use in high-risk environments where failure could lead to physical injury or critical damage.

6. Data Custody & Privacy

Humanlyst AI does not have access to your local database, recordings, or files. You are the sole custodian of your data.

Uninstalling the software may leave configuration 'leftovers' in OS folders (AppData/Library). You are responsible for manually purging these if required.

7. AI Outputs

AI-generated insights are probabilistic assistance only. You must review and approve all AI content before use. Humanlyst AI assumes no liability for decisions made based on AI output.

8. No Warranty

To the maximum extent permitted by law, Humanlyst AI disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Humanlyst AI, its founders, directors, officers, employees, contractors, contributors, affiliates, agents, representatives, licensors, hosting providers, distribution partners, app store providers, payment providers, and third-party service providers shall not be liable for any direct, indirect, or consequential damages arising from the use of the software.

10. Governing Law

This agreement is governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
